1. Acceptance of Terms

By accessing or using the Toccavi platform at toccavi.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you ("User", "you") and Toccavi ("we", "us", "our"). We may update these Terms from time to time; continued use after changes constitutes acceptance.

2. Description of Service

Toccavi provides an AI-powered voice agent platform that allows businesses to:

  • Create and configure intelligent phone agents that answer calls, schedule appointments, capture leads, and provide information to callers
  • Index website content via "Deep Dive" to build a searchable knowledge base for the agent
  • Manage inbound and outbound phone calls via Twilio-provisioned phone numbers
  • Interact with the AI agent through a web-based voice and text chat interface
  • Connect third-party services (Google Calendar, Gmail, Microsoft Outlook) for enhanced agent capabilities
  • Run simulated test calls to evaluate and improve agent performance

3. Account Registration

To use Toccavi, you must create an account via email/password or a supported OAuth provider (Google, GitHub, Apple). You agree to:

  • Provide accurate and complete information during registration
  • Keep your login credentials secure and not share them with unauthorized parties
  • Notify us immediately of any unauthorized access to your account
  • Be responsible for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Subscription Plans & Billing

4.1 Plans

Toccavi offers tiered subscription plans (Free, Starter, Professional, Business) with varying usage limits on phone minutes, phone numbers, agents, knowledge documents, and website crawl pages. Plan details and pricing are displayed on our pricing page and may be updated from time to time.

4.2 Payment

  • Paid plans require a valid payment method processed through Stripe
  • Subscriptions are billed monthly. You authorize us to charge your payment method on a recurring basis
  • Overage charges (for exceeding plan-included phone minutes) are billed at the per-minute rate specified for your plan

4.3 Cancellation & Refunds

  • You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period
  • No prorated refunds are provided for partial billing periods
  • Upon cancellation, your account reverts to the Free tier. Phone numbers will be released after a 7-day grace period

5. Acceptable Use

You agree not to use Toccavi to:

  • Make robocalls, spam calls, or any unsolicited automated phone communications in violation of the Telephone Consumer Protection Act (TCPA) or equivalent local laws
  • Impersonate a real person or mislead callers about the AI nature of the agent when legally required to disclose
  • Engage in harassment, threats, or any form of abusive communication
  • Transmit illegal, fraudulent, defamatory, or harmful content
  • Attempt to reverse-engineer, disassemble, or extract models, algorithms, or training data from the Service
  • Circumvent usage limits, rate limits, or security controls
  • Resell or sublicense access to the Service without written permission
  • Use the Service for any purpose that violates applicable laws or regulations

Violation of these terms may result in immediate suspension or termination of your account without refund.

6. AI-Generated Content

Toccavi uses artificial intelligence models (including Amazon Nova Sonic, OpenAI, and others) to generate voice responses, text, and recommendations. You acknowledge that:

  • AI responses may contain inaccuracies, hallucinations, or errors. You are responsible for verifying the accuracy of information your agent provides to callers
  • The AI model may produce unexpected or inappropriate content despite safety measures. You should monitor agent interactions and refine prompts accordingly
  • We do not guarantee specific outcomes, conversion rates, or business results from using the Service
  • You are solely responsible for the information you instruct your agent to convey and for ensuring it complies with applicable advertising, disclosure, and consumer protection laws

7. Phone Services

7.1 Twilio Phone Numbers

Phone numbers provisioned through Toccavi are provided by Twilio, Inc. Use of these numbers is subject to Twilio's Terms of Service and Acceptable Use Policy.

7.2 Call Recording & Consent

  • Voice audio is streamed in real-time for AI processing and is not recorded or stored after the session ends
  • Conversation transcripts are generated and stored. You are responsible for complying with call recording and monitoring disclosure laws in your jurisdiction (e.g., two-party consent states)
  • If required by law, you must configure your agent's greeting to disclose that the call may be monitored or that the caller is speaking with an AI

7.3 Emergency Services

Toccavi is not a replacement for emergency services. The platform does not support 911 or equivalent emergency calls. Do not rely on Toccavi for emergency communications.

8. Third-Party Integrations

When you connect third-party services (Google, Microsoft, Apple, etc.), you grant Toccavi limited access to those services as described in our Privacy Policy. You agree to comply with the terms of service of each third-party provider.

Toccavi's use of Google APIs complies with the Google API Services User Data Policy, including Limited Use requirements. We do not use Google data for advertising or sell it to third parties.

9. Intellectual Property

9.1 Our Property

The Toccavi platform, including its code, design, branding, and documentation, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our written consent.

9.2 Your Content

You retain ownership of the business information, knowledge base data, custom instructions, and other content you provide to Toccavi. By uploading content, you grant us a limited, non-exclusive license to use it solely for providing and improving the Service on your behalf.

10. Data & Privacy

Your use of Toccavi is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to our data practices as described therein.

11. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied
  • We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components
  • We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or business opportunities
  • Our total liability to you for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim

12. Indemnification

You agree to indemnify and hold Toccavi harmless from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Service Modifications & Termination

  • We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice
  • We may terminate your account for violations of these Terms, non-payment, or extended inactivity
  • Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable retention period

14. Dispute Resolution

Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in the State of Georgia, United States. You waive the right to participate in class action lawsuits.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
